Terms of sale and licence

These terms explain what you are buying, how you may use it, and what we are and are not responsible for. Please read them before you buy.

1. Who we are

PropCompass is run by Prop Compass of Firwood Terrace, Ferryhill, DL17 0DG, United Kingdom ("we", "us"). You can contact us at support@usepropcompass.com.

2. What these terms cover

They cover the PropCompass app for Windows, the PropCompass Risk Desk and PropCompass Orderflow Suite add-ons for NinjaTrader 8, update renewals, and any other add-on we sell (together, "the Software"), and our website usepropcompass.com.

3. Buying from us

  • Orders are taken and paid for through Lemon Squeezy, which acts as the merchant of record. Lemon Squeezy handles payment, sales tax or VAT, and your receipt. Its own terms and privacy policy apply to the payment.
  • Prices are in US dollars and may have tax added where the law requires it.
  • Your licence key is emailed to you after payment. A licence exists once your key has been issued.
  • The founder price is a launch price for early buyers. The standard price is shown as the RRP. We may change prices for new buyers at any time, and a price change never affects something you have already bought.

4. Your licence

When you buy, we give you a personal, non-exclusive, non-transferable licence to install and use the Software on computers you personally use, for your own trading analysis and records. We keep all ownership of the Software.

You must not:

  • share your licence key or give copies of the Software to other people to use;
  • sell, rent, lend or otherwise pass on the Software or your key;
  • copy, modify or reverse engineer the Software, except where the law lets you do so regardless of what we say;
  • remove, bypass or tamper with the licence check, or make or use keys we did not issue;
  • use the Software to build a competing product.

5. Updates and support

  • Your purchase includes email support and new versions released during the update period shown on the product page when you bought (one year for the PropCompass app).
  • After that, the Software keeps working on the versions you already have. If you want newer versions, you can renew updates for the price shown on our pricing page (currently $19 a year for the app). Renewing is optional.
  • A licence key covers every version released up to the end date of your update period.
  • Software such as NinjaTrader changes over time. We will try to keep Risk Desk and Orderflow Suite working with new versions of NinjaTrader but we cannot promise that it will.

6. Your data

PropCompass saves your data on your own computer. We do not receive it and we do not back it up. You are responsible for keeping your own backups, for example with the backup tools inside the app. Our privacy policy explains what we do hold.

7. Not financial advice, and trading risk

  • PropCompass is a simulation, journalling and analytics tool. Pass odds, expected values, insights, forecasts and warnings are calculated from the numbers you enter and the assumptions in the tool. They are not predictions, guarantees, recommendations or financial advice.
  • Trading futures and other leveraged products involves a high risk of loss. You are solely responsible for your trading decisions and your accounts.
  • Prop firm rules change often. Firm presets show a last-checked date and may be out of date, so always check the firm's current rules yourself.
  • Risk Desk shows warnings based on thresholds you set. It does not know your firm's own rules, it can be late or miss events, and it must not be your only safeguard. It never places, changes or cancels orders.
  • PropCompass Orderflow Suite can send orders to your trading platform when you click the ladder or chart, drag an order, or press a hotkey you have set. You are responsible for every order it sends, for switching click trading on or off, and for testing on a simulator first. Its order-flow columns, profiles, levels and charts describe what has happened in the market. They are not signals, predictions or advice, and they can be late, incomplete or wrong. Orderflow Suite never places orders automatically.
  • PropCompass is not affiliated with, endorsed by or sponsored by NinjaTrader or any prop trading firm. Names are used for reference only.

8. The Software as supplied

We aim to provide Software that works as described, but all software can contain faults and we cannot promise it will be error free or uninterrupted. Nothing in these terms takes away your legal rights. If you are a consumer in the UK, the Software must be as described, of satisfactory quality and fit for its purpose, and if it is not, you have the remedies the law gives you.

9. Our responsibility to you

Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else the law does not allow us to limit. Subject to that:

  • we are not responsible for trading losses, lost profits, lost opportunities, lost data, or indirect or consequential loss; and
  • our total responsibility to you for anything connected with the Software is limited to the price you paid for the Software in the 12 months before the problem arose.

10. Ending the licence

You can stop using the Software at any time. We may end your licence and stop support and updates if you seriously or repeatedly break these terms, for example by sharing your key. Refunds are explained in our refund policy.

11. Changes to these terms

We may update these terms. The version that applies to you is the one shown on this page when you bought. Changes to the Software's features or prices do not change what you have already paid for.

12. Law and courts

These terms are governed by the law of England and Wales, and the courts of England and Wales can deal with any dispute. If you live elsewhere, you keep any consumer rights you have under your own country's law that cannot be changed by a contract.
